Conversion Into a Stock Corporation - Aug. 10th, 2012

We are happy to announce that the individual enterprise 'Horst Karcher'  is being converted into a new stock corporation. The conversion is taking place by spin-off to the newly formed stock corporation, which will operate under

Karcher AG

at the same location as before.
The executive board will be occupied by Klaus Karcher, Armin Karcher, Kay Karcher, and Horst Karcher – Horst Karcher being the owner of the previous individual enterprise ‘Horst Karcher’.
With the registration of Karcher AG in the trade register, which took place on Aug. 1st, 2012, all operations are transferred into the new stock corporation. In a succeeding step to the spin-off of the individual enterprise ’Horst Karcher‘ into the ‘Karcher AG’, the companies‘Karcher Motorrad GmbH’ and ‘Karcher Television GmbH’ will be merged with ‘Karcher AG’ in order to form one single corporation.

What does this mean for you as business partner?
In the future you will only be dealing with ‘Karcher AG’. The individual enterprise ‘Horst Karcher’ will be terminated by the spin-off, as will ‘Karcher Motorrad GmbH’ and ‘Karcher Television GmbH’. Both processes (spin-off and merger) will take place under full legal succession. I. e. all previous legal relations will be taken over by the new corporation, all contractual relations will remain unchanged with the new corporation, all liabilities will be taken up by the new corporation.
